A Resolution amending the Articles of Incorporation of the Allegheny County Hospital Development Authority (the "Authority") to revise Section III thereof with regard to the County’s review of projects for hospitals and health centers financed by the Authority.

Whereas, the Authority is a body corporate and politic, organized and existing under the laws of the Commonwealth of Pennsylvania pursuant to the Municipality Authorities Act, 53 Pa.C.S.A. §5601, et seq., as amended (the "Act"), having been duly organized by the County of Allegheny, Pennsylvania (the "County"); and
Whereas, an authority created under the Act may amend its Articles of Incorporation from time to time by adopting a Resolution setting forth the proposed amendment, which the Authority has done by restating Section III of the Authority’s Articles of Incorporation (the “Amendment”) in a Resolution adopted by the Board of the Authority on February 23, 2021, and directing that the proposed amendment be presented before the County Council of the County; and
Whereas, the Amendment will update and modify the review to be undertaken by the County with respect to projects for hospitals and health centers financed through the Authority; and
Whereas, the Act requires the approval of the Amendment to Articles of Incorporation by County Council.
The Council of the County of Allegheny hereby resolves as follows:
SECTION 1. Incorporation of Preamble.
The provisions set forth in the preamble to this Resolution are incorporated by reference in their entirety herein.
SECTION 2. Terms Defined.
Terms used in the Recitals to these Resolutions are herein used as therein defined.
SECTION 3. Finding and Declaration.
Section III of the Articles of Incorporation of the Allegheny County Hospital Development Authority is amended and restated in its entirety as follows:
“Section III. The purpose of the Authority is to acquire, hold, finance, construct, improve, maintain, own, operate and lease, as lessor or lessee, hospitals and health centers, or parts thereof, at such locations inside and outside of the County of Allegheny and which are authorized by the provisions of the Municipality Authorities Act of May 2d, One Thousand Nine Hundred Forty-Five, P.L. 382, as amended and supplemented.
SECTION 4. Severability.
If any provision of this Resolution shall be determined to be unlawful, invalid, void or unenforceable, then that provision shall be considered severable from the remaining provisions of this Resolution which shall be in full force and effect.
SECTION 5. Repealer.
Any Resolution or Ordinance or part thereof conflicting with the provisions of this Resolution is hereby repealed so far as the same affects this Resolution.
SECTION 6. Effective Date.
This Resolution shall be effective immediately.
