A Resolution amending the Articles of Incorporation of the Authority for Improvements in Municipalities (the "Authority") to extend the term of existence of the Authority to a date that is fifty (50) years from the date of the approval of the Amendment to Articles of Incorporation by the Secretary of the Commonwealth of Pennsylvania.
Whereas, the Authority is a body corporate and politic, organized and existing under the laws of the Commonwealth of Pennsylvania pursuant to the Municipality Authorities Act, 53 Pa.C.S.A. ยง5601, et seq., as amended (the "Act"), having been duly organized by the County of Allegheny, Pennsylvania (the "County"); and
Whereas, an authority created under the Act may amend its Articles of Incorporation from time to time to, among other things, extend the term of existence to a date not to exceed fifty (50) years from the date of approval of the Amendment to Articles of Incorporation; and
Whereas, the Authority existence is scheduled to expire on June 17, 2018; and
Whereas, the Authority has, by Resolution duly adopted on November 18, 2014, approved an amendment (the "Amendment to Articles of Incorporation") to its Articles of Incorporation to extend the term of the Authority's existence to a date not to exceed fifty (50) years from the date of approval of the Amendment to Articles of Incorporation by the Secretary of the Commonwealth of Pennsylvania, which Resolution has been presented before County Council; and
Whereas, the Act requires the approval of the Amendment to Articles of Incorporation by County Council.
The Council of the County of Allegheny hereby resolves as follows:
SECTION 1. Incorporation of Preamble.
The provisions set forth in the preamble to this Resolution are incorporated by reference in their entirety herein.
SECTION 2. Terms Defined.
Terms used in the Recitals to these Resolutions are herein used as therein
defined.
SECTION 3. Finding and Declaration.
The Articles of Incorporation of the Authority for Improvements in Municipalities are amended as follows:
"The term of existence of the Authority shall be a date that is fifty (50) years from the date of the approval of the Amendment to Articles of Incorporation by the Secretary of the Commonwealth of Pennsylvania."
SECTION 4. Severability. If any provision of this Resolution shall be determined to be unlawful, invalid, void or unenforceable, then that provision shall be considered severable from the remaining provisions of this Resolution which shall be in full force and effect.
SECTION 5. Repealer. Any Resolution or Ordinance or part thereof conflicting with the provisions of this Resolution is hereby repealed so far as the same affects this Resolution.
