An Ordinance of the County of Allegheny, Commonwealth of Pennsylvania authorizing the sale of approximately 207.09 acres of County owned property in Marshall Township to Tech 21 Partners, LP.

                     WHEREAS, Article IV, Section 2 (k) of the Allegheny County Home Rule Charter vests the County's Council with the power and duty by ordinance to convey County owned land, buildings or other real or personal property owned by the County; and

 

                     WHEREAS, The County's Department of Economic Development entered into a Memorandum of Understanding (hereinafter referred to as the “MOU”) with Tech 21 Partners, LP (hereinafter “Tech 21”) relating to the development of approximately 207.09 acres of County owned property in Marshall Township (Block & Lot No. 9923-X-50061) near the Warrandale Interchange of Interstate 79 (the “Property”), dated September 28, 1998, for a one (1) year period from March 18, 1999 to March 18, 2000; and

 

                     WHEREAS, On July 18, 2000 County Council approved a one (1) year extension of the MOU to enable Tech 21 to continue its due diligence; and

 

                     WHEREAS, on October 31, 2001 the County Manager granted authority to the Department of Economic Development to enter into Agreement with Tech 21 in order that Tech 21 obtain zoning for its project and for the purpose of negotiating the terms and conditions of a Sales Agreement for the Property; and

 

                     WHEREAS, the County Manager has determined that it is no longer in the interest of Allegheny County to maintain the Property; and

 

                     WHEREAS, the County and Tech 21 have agreed upon the consideration for the Property which the Department of Economic Development feels is fair and reasonable under the circumstances; and

 

                     WHEREAS, the Council of Allegheny County is of the belief that the sale of the Property will inure to the benefit of the citizens of the County.

 

 

 

 

 

 

 

 

 

The Council of the County of Allegheny hereby enacts as follows:

 

SECTION 1. INCORPORATION OF THE PREAMBLE

                     The provisions set forth in the preamble to this Ordinance are incorporated by reference in their entirety herein.

SECTION 2. AUTHORIZATION FOR THE SALE OF APPROXIMATELY 207.09

 

ACRES OF PROPERTY IN MARSHALL TOWNSHIP, ALLEGHENY COUNTY

 

                     A.                     County Council does hereby authorize and approve the sale of approximately 207.09 acres                                           of County owned real estate located in Marshall Township to Tech 21 Partners, LP for a                                                                consideration of $2,100,000.00 plus costs as proscribed by the Administrative Code per the                                           terms and conditions of the Agreement of Sale to be entered into between the parties.

 

                     B.                     County Council does hereby further authorize the County's Director of Economic                      Development or his authorized representative or delegate to take any and all actions                      necessary, subject to the approval of the County Manager and the County Solicitor, to                      carry out the authorization of the sale of Property granted herein.

 

SECTION 3. SEVERABILITY

 

                     If any provision of this Ordinance shall be determined to be unlawful, invalid, void or unenforceable, then that provision shall be considered severable from the remaining provisions of this Ordinance which shall continue in full force and effect.

 

SECTION 4. REPEALER

                     

                     Any Ordinance or any part of an Ordinance conflicting with the provisions of this Ordinance is hereby repealed to the extent of such conflict.

 

 

 

 

 

 

 

 

 

 

 

SECTION                                          If any provision of this Ordinance shall be determined to be unlawful, invalid, void or unenforceable, then that provision shall be considered severable from the remaining provisions of this Ordinance which shall be in full force and effect.

 

 

 

SECTION                                          Any Resolution or Ordinance or part thereof conflicting with the provisions of this Ordinance is hereby repealed so far as the same affects this Ordinance.
